AMCDT END USER SOFTWARE LICENSE AGREEMENT Automotive Model-Code Diagnostic Tool ("AMCDT") Mercy Systems - mercysystems.com Version 1.0 - Effective October 22, 2026 PLEASE READ THIS AGREEMENT CAREFULLY. BY CHECKING THE ACCEPTANCE BOX AT CHECKOUT, OR BY DOWNLOADING, INSTALLING, ACTIVATING, OR USING THE SOFTWARE, YOU AGREE TO THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT PURCHASE, INSTALL, ACTIVATE, OR USE THE SOFTWARE. This End User Software License Agreement (the "Agreement") is between Mercy Systems ("Mercy Systems", "we", "us", or "our"), a business organized under the laws of the State of Tennessee with its principal place of business at 398 Log Road, Spring City, Tennessee 37381, and the business entity that accepts this Agreement ("Licensee", "you", or "your"). If you accept this Agreement on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" means that organization. This Agreement takes effect on the date you accept it (the "Effective Date"). 1. ABOUT THE SOFTWARE 1.1 What AMCDT does. AMCDT is a diagnostic software tool. It compares output traces from a model with output traces from corresponding code (for example, in CSV or MAT file format) and explains observed differences in plain language. Typical explanations include rounding, saturation, library mismatch, compiler effects, or a possible real bug. 1.2 What AMCDT is not. AMCDT is an engineering aid only. Its explanations are suggestions to help your engineers investigate differences; they are not conclusions, approvals, or sign-offs. In particular: (a) AMCDT is not a functional-safety tool and is not designed, tested, or intended to establish that any model, code, system, or product is correct or safe. (b) Mercy Systems makes no claim that AMCDT complies with, or is qualified, certified, or validated under, ISO 26262, IEC 61508, or any other functional-safety, quality, or regulatory standard, and no tool qualification or certification evidence is provided. (c) AMCDT is not a substitute for your own verification, validation, testing, review, safety processes, and qualified engineering judgment, all of which remain your responsibility. 1.3 Business use only. AMCDT is offered only to businesses and professionals for business purposes. You represent that you are acquiring the Software in a business or professional capacity and not as a consumer for personal, family, or household purposes. 2. DEFINITIONS In this Agreement: (a) "Software" means AMCDT, delivered as a downloadable Linux package (.deb) from mercysystems.com, including any Updates we provide to you and any related Documentation. (b) "Documentation" means the user guides, help files, and other written materials about the Software that we make available. (c) "License Key" means the unique key that activates one Seat of the Software. (d) "Seat" means one installation of the Software on one machine, used by no more than one person at a time. (e) "Your Data" means the trace files and other data you load into the Software. (f) "Output" means the reports, explanations, and other results the Software generates from Your Data. (g) "Order" means your online purchase of one or more Seats through mercysystems.com, including the pricing option, number of Seats, and fees shown at checkout. (h) "Subscription Term" means, for a subscription, each paid period described in Section 8: one month for a monthly subscription, or one year for an annual subscription. (i) "Updates" means bug fixes, patches, and new versions of the Software that we choose to make generally available to licensees. (j) "Keygen" means the third-party license-management service through which License Keys are issued and managed. 3. LICENSE GRANT 3.1 Grant. Subject to your compliance with this Agreement and payment of all applicable fees, Mercy Systems grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software, in object-code form only, for your internal business purposes, on the number of Seats you have paid for, and only during the license period that applies to your pricing option (Section 8). This license may be terminated if you breach this Agreement. 3.2 Your employees and contractors. You may permit your employees and individual contractors to use the Software on your behalf, provided each use occurs on a Seat you have licensed and you remain responsible for their compliance with this Agreement. 3.3 License, not sale. The Software is licensed, not sold. You receive a right to use the Software, not ownership of it. Mercy Systems and its licensors keep all right, title, and interest in and to the Software and Documentation, including all intellectual property rights. All rights not expressly granted to you in this Agreement are reserved. 3.4 Copies. You may make one backup copy of the installation package for archival purposes. Any copy must include all proprietary notices. 4. RESTRICTIONS You must not, and must not allow anyone else to: (a) reverse engineer, decompile, disassemble, or otherwise try to derive the source code, algorithms, or internal structure of the Software, except to the extent applicable law expressly permits this despite this restriction; (b) bypass, disable, or circumvent any License Key, activation check, or other technical protection in the Software; (c) share, publish, or disclose a License Key, or use one License Key for more than one Seat; (d) sell, resell, rent, lease, lend, distribute, sublicense, or transfer the Software or any License Key, except as allowed in Section 5.3; (e) use the Software for timesharing, as a service bureau, or to provide hosted or processing services to third parties; (f) modify, translate, adapt, or create derivative works of the Software; (g) remove, alter, or obscure any copyright, trademark, or other proprietary notice in the Software or Documentation; (h) use the Software, or knowledge gained from it, to build or help build a competing product or service; or (i) use the Software in violation of any applicable law, including the export control laws described in Section 18. 5. LICENSE KEYS AND SEATS 5.1 Delivery. After your payment is successfully processed, License Keys are issued and delivered automatically through Keygen. You need one License Key for each Seat. 5.2 One key per Seat. Each License Key may be used for only one Seat. You are responsible for keeping your License Keys confidential and for all use of them. Tell us promptly through mercysystems.com if you believe a License Key has been lost, stolen, or used without permission. 5.3 Moving a Seat to a replacement machine. You may move a Seat to a different machine (for example, when replacing hardware) by deactivating the Software on the old machine and activating it on the new one. You may do this up to 2 times per Seat in any 12-month period. If you need more transfers, contact us through mercysystems.com and we will consider reasonable requests. 5.4 Activation and checks. The Software may need to contact Keygen to activate a License Key and may periodically check that the License Key is valid. The Software may not operate if the License Key cannot be activated or validated, or if it has been suspended, deactivated, or revoked as allowed by this Agreement. 5.5 Suspension and revocation. We may suspend, deactivate, or revoke a License Key if: (a) payment for it fails, is refunded, or is reversed (including through a chargeback); (b) it is used in breach of this Agreement, including use on more Seats than licensed; or (c) we reasonably believe it has been compromised. Where practical, we will notify you and give you a chance to fix the issue, except where immediate action is reasonably needed to protect the Software or other customers. 6. YOUR DATA AND OUTPUT 6.1 You own Your Data and Output. As between you and Mercy Systems, you own Your Data and the Output. We claim no ownership of them. 6.2 Local processing. The Software is designed to process Your Data locally on your machine. In normal use, Mercy Systems does not receive Your Data or Output. If you choose to send us files (for example, to get support), we will use them only to help you and will handle them as your confidential information. 6.3 License activation data. To activate and validate License Keys, the Software sends limited license-related information to Keygen, such as the License Key, a machine identifier or fingerprint, the Software version, and basic technical information needed for licensing. Purchase and account details (such as name, company, and email address) are collected at checkout. This information is used to deliver and manage licenses, prevent misuse, provide support, and handle billing. It is not your trace data. More information is available on mercysystems.com. 6.4 Your responsibility for Your Data. You are responsible for having the rights to use Your Data with the Software and for keeping your own backups. 7. UPDATES AND SUPPORT 7.1 What is included. While your license includes support (see below), we will make Updates available for download from mercysystems.com when we release them, and provide email support requested through mercysystems.com: (a) Monthly or annual subscription: during each paid Subscription Term. (b) Perpetual license: for 12 months from the date of purchase. After that, you may keep using the version you have, and we may offer optional paid renewal of updates and support. 7.2 Nature of support. Support is provided on a reasonable-efforts, as-available basis during our normal business hours. We do not guarantee response times, that every issue can be resolved, or that any particular feature will be developed. We may change or discontinue features in future versions. 7.3 Updates are covered by this Agreement. Updates are part of the Software and are governed by this Agreement unless they come with different terms. 8. PRICING OPTIONS, FEES, TAXES, AND REFUNDS Mercy Systems offers the following pricing options. The option that applies to you is the one shown in your Order. 8.1 Option A - Monthly or annual subscription. (a) Term. A monthly subscription lasts for one month from purchase and renews automatically for successive one-month Subscription Terms. An annual subscription lasts for one year from purchase and renews automatically for successive one-year Subscription Terms. Either renews unless you cancel before the renewal date. We will remind you before renewal as required by applicable law. (b) Cancellation. You may cancel renewal at any time through the method provided on mercysystems.com or at checkout. Cancellation takes effect at the end of the current paid Subscription Term, and you may keep using the Software until then. (c) Failed renewal payment. If a renewal payment fails, you have a grace period of 14 days to update your payment details. If payment is not received by the end of the grace period, your License Keys will be deactivated and your license will end. (d) End of subscription. When your subscription ends for any reason, your right to use the Software ends and the License Keys will be deactivated. 8.2 Option B - One-time perpetual license. (a) Term. In exchange for a one-time fee, your license to the version of the Software you purchased, and any Updates you receive during your included update period (Section 7.1(b)), continues indefinitely unless terminated under Section 16. (b) Refunds and chargebacks. If the purchase fee is refunded, or a payment is reversed or charged back, the license and its License Keys are revoked. 8.3 Fees. You agree to pay all fees shown in your Order. Fees are stated and payable in the currency shown at checkout. Except as stated in Section 8.5, fees are non-refundable. We may change our prices for future purchases and renewals; for subscriptions, any price change will apply only from your next Subscription Term after we notify you in advance. 8.4 Taxes. Fees do not include taxes unless stated at checkout. You are responsible for all sales, use, value-added, withholding, and similar taxes related to your purchase, except taxes on our net income. 8.5 Refunds. You may request a full refund within 14 days from the date of purchase by contacting us through mercysystems.com. When a refund is issued, the related License Keys will be revoked and you must uninstall the Software. Refunds are not available after 14 days, including for subscription renewals, except where required by law. 8.6 Payment processing. Payments may be processed by a third-party payment processor or reseller, whose own terms may also apply to the payment transaction. 8.7 Failed payments and chargebacks generally. If any payment fails, is reversed, or is charged back, we may suspend or revoke the affected License Keys until the matter is resolved, as described in Section 5.5. 8.8 Free trial. We may offer a free 14-day trial. A trial requires a valid email address and no payment. Trial License Keys are limited to one per person or business unless we agree otherwise, and they expire automatically 14 days after they are issued. When the trial ends, the Software stops running analyses until you purchase a license. During the trial this Agreement applies to your use of the Software, except that no fees are due and Sections 7 and 8.5 do not apply. The trial is provided for evaluation only, and the warranty disclaimer in Section 12 and the limitation of liability in Section 13 apply in full. 9. CONFIDENTIALITY OF THE SOFTWARE The Software, its Documentation, and any non-public information about them (including License Keys and any non-public pricing or technical information) are Mercy Systems' confidential information. You will use them only as allowed by this Agreement, protect them with at least reasonable care, and not disclose them to anyone other than your employees and contractors who need access to use the Software for you and who are bound by confidentiality obligations at least as protective as these. This does not apply to information that is or becomes public through no fault of yours, that you already lawfully had, or that you independently develop. You may disclose confidential information if required by law, after giving us reasonable notice where legally allowed. 10. FEEDBACK If you give us suggestions, ideas, or other feedback about the Software, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that feedback without restriction or obligation to you. We will not identify you publicly as the source of feedback without your permission. Feedback does not include Your Data or Output. 11. THIRD-PARTY AND OPEN-SOURCE COMPONENTS The Software may include third-party components, including open-source software. These components are listed, with their applicable license terms, in the notices file included with the Software installation package. To the extent the license for a component requires different terms, those terms apply to that component and take precedence over this Agreement for that component only. Nothing in this Agreement limits your rights under those licenses. 12. WARRANTY DISCLAIMER 12.1 THE SOFTWARE, DOCUMENTATION, OUTPUT, UPDATES, AND SUPPORT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MERCY SYSTEMS AND ITS LICENSORS AND SUPPLIERS DISCLAIM ALL WARRANTIES, CONDITIONS, AND REPRESENTATIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. 12.2 WITHOUT LIMITING SECTION 12.1, MERCY SYSTEMS DOES NOT WARRANT THAT: (a) THE SOFTWARE OR ANY OUTPUT IS ACCURATE, COMPLETE, OR RELIABLE; (b) THE SOFTWARE WILL DETECT EVERY DIFFERENCE, MISMATCH, DEFECT, OR BUG, OR WILL CORRECTLY EXPLAIN OR CLASSIFY ANY DIFFERENCE IT DETECTS; (c) THE SOFTWARE IS SUITABLE FOR, OR MAY BE RELIED ON IN, ANY SAFETY-CRITICAL, SAFETY-RELATED, OR REGULATED USE, OR THAT IT MEETS THE REQUIREMENTS OF ISO 26262 OR ANY OTHER FUNCTIONAL-SAFETY OR REGULATORY STANDARD; OR (d) THE SOFTWARE WILL OPERATE WITHOUT INTERRUPTION OR ERROR, WILL BE COMPATIBLE WITH ANY PARTICULAR SYSTEM, TOOL, OR FILE, OR THAT ALL ERRORS WILL BE CORRECTED. 12.3 YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY REVIEWING AND CONFIRMING ANY OUTPUT BEFORE RELYING ON IT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU, IN WHICH CASE THOSE WARRANTIES ARE LIMITED TO THE SHORTEST PERIOD AND NARROWEST SCOPE PERMITTED BY LAW. 13. LIMITATION OF LIABILITY 13.1 NO LIABILITY FOR MISSED OR MISCLASSIFIED ISSUES. YOU ACKNOWLEDGE THAT THE SOFTWARE PROVIDES DIAGNOSTIC SUGGESTIONS ONLY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MERCY SYSTEMS WILL NOT BE LIABLE FOR ANY LOSS, DAMAGE, CLAIM, OR COST ARISING FROM OR RELATED TO YOUR OR ANY THIRD PARTY'S RELIANCE ON THE SOFTWARE OR ANY OUTPUT, INCLUDING WHERE A REAL BUG, DEFECT, MISMATCH, OR SAFETY ISSUE IS NOT DETECTED, IS EXPLAINED INCORRECTLY, OR IS MISCLASSIFIED (FOR EXAMPLE, AS A ROUNDING, SATURATION, LIBRARY, OR COMPILER EFFECT). 13.2 EXCLUSION OF CERTAIN DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MERCY SYSTEMS OR ITS LICENSORS OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY: LOSS OF PROFITS, REVENUE, BUSINESS, CONTRACTS, GOODWILL, OR ANTICIPATED SAVINGS; LOSS OR CORRUPTION OF DATA; COST OF SUBSTITUTE GOODS OR SERVICES; PRODUCT RECALL, FIELD ACTION, REWORK, OR WARRANTY COSTS; PRODUCT LIABILITY CLAIMS; OR PROPERTY DAMAGE, PERSONAL INJURY, OR DEATH ARISING FROM YOUR PRODUCTS OR SYSTEMS, IN EACH CASE ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF MERCY SYSTEMS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 13.3 LIABILITY CAP. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF MERCY SYSTEMS AND ITS LICENSORS AND SUPPLIERS FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE WILL NOT EXCEED THE TOTAL FEES YOU ACTUALLY PAID TO MERCY SYSTEMS FOR THE SOFTWARE IN THE 12 MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM. 13.4 APPLICATION. THESE LIMITATIONS APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THE FEES FOR THE SOFTWARE REFLECT THIS ALLOCATION OF RISK, WHICH IS AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES. NOTHING IN THIS AGREEMENT LIMITS OR EXCLUDES LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, SUCH AS, WHERE APPLICABLE, LIABILITY FOR FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT, OR FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE. 14. YOUR RESPONSIBILITY FOR YOUR PRODUCTS You are solely responsible for the design, development, verification, validation, testing, safety, regulatory compliance, certification, and release of your models, code, systems, and products, and of any products into which they are incorporated. You are responsible for deciding whether and how to use any Output, and for applying your own safety processes and qualified engineering judgment. You will not represent to any customer, regulator, or other third party that the Software or Mercy Systems has qualified, certified, approved, or assured the safety or correctness of any of your models, code, systems, or products. 15. INDEMNITY BY YOU To the extent permitted by applicable law, you will defend, indemnify, and hold harmless Mercy Systems and its owners, employees, and contractors from and against any third-party claims, and related losses, damages, liabilities, costs, and reasonable attorneys' fees, arising from or related to: (a) your models, code, systems, or products, or any products into which they are incorporated, including product liability, recall, personal injury, and property damage claims; (b) your use of the Software or any Output, including reliance on any Output; (c) Your Data; or (d) your breach of this Agreement or violation of law. We will notify you promptly of any such claim, allow you to control its defense (provided you may not settle a claim that imposes obligations on us without our consent, which we will not unreasonably withhold), and give reasonable cooperation at your expense. 16. TERM AND TERMINATION 16.1 Term. This Agreement starts on the Effective Date and continues for the license period that applies to your pricing option under Section 8, unless terminated earlier under this Section. 16.2 Termination by you. You may terminate this Agreement at any time by uninstalling the Software and destroying all copies. Termination by you does not entitle you to a refund except as stated in Section 8.5. 16.3 Termination by us. We may terminate this Agreement, or the license for any affected Seats, by notice to you if: (a) you fail to pay fees when due (subject to the grace period in Section 8.1(c) for subscription renewals); (b) a payment is refunded, reversed, or charged back; or (c) you breach this Agreement and, if the breach can be fixed, you do not fix it within 14 days after we notify you. We may terminate immediately on notice for a breach of Section 4 (Restrictions) or Section 18 (Export Controls). 16.4 Effect of termination. When this Agreement or a license ends for any reason: (a) your right to use the affected Software ends immediately; (b) you must stop using and uninstall the Software and destroy all copies, including backups; and (c) the related License Keys will be deactivated. You keep all Your Data and Output. 16.5 Survival. Sections 3.3, 4, 6.1, 9, 10, 11, 12, 13, 14, 15, 16.4, 16.5, and 17 through 21, and any accrued payment obligations, survive termination. 17. GOVERNING LAW AND VENUE This Agreement is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act (where enacted) do not apply. Each party agrees that any dispute arising out of or related to this Agreement will be brought exclusively in the state or federal courts located in Tennessee, and each party consents to the personal jurisdiction of those courts. Either party may seek temporary injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information. 18. EXPORT CONTROLS AND SANCTIONS The Software may be subject to United States and other export control and economic sanctions laws. You will comply with all such laws. You represent that you are not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S. sanctions, and that you are not named on, or owned or controlled by anyone named on, any U.S. government restricted-party list. You will not export, re-export, or transfer the Software, or allow it to be accessed, in violation of those laws, or use it for any prohibited end use. 19. U.S. GOVERNMENT END USERS The Software and Documentation are "commercial computer software" and "commercial computer software documentation" as those terms are used in the Federal Acquisition Regulation (FAR) and the Defense Federal Acquisition Regulation Supplement (DFARS). Under FAR 12.212 and DFARS 227.7202, as applicable, U.S. Government end users acquire the Software and Documentation only with the rights set out in this Agreement. 20. GENERAL TERMS 20.1 Entire agreement. This Agreement, together with your Order, is the entire agreement between you and Mercy Systems about the Software and replaces all prior or contemporaneous understandings about it. Any terms in your purchase order or other documents are rejected and have no effect. If this Agreement conflicts with your Order, this Agreement controls unless the Order expressly says otherwise. 20.2 Changes to this Agreement. We may update this Agreement for future purchases and renewals by posting a new version on mercysystems.com. The version you accepted applies to your current purchase or Subscription Term; an updated version applies to your next renewal if we notify you before the renewal date. 20.3 Severability. If any part of this Agreement is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the rest of this Agreement will remain in effect. 20.4 Assignment. You may not assign or transfer this Agreement or any license without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, reorganization, or sale of all or substantially all of the business or assets related to the Software. Any prohibited assignment is void. 20.5 Notices. We may give you notices by email to the address associated with your purchase or by posting on mercysystems.com. You may give us notices by email to danny@mercysystems.com, or by mail to Mercy Systems at 398 Log Road, Spring City, Tennessee 37381. Notices are effective when received. 20.6 No waiver. A failure or delay in enforcing any part of this Agreement is not a waiver of that right. 20.7 Force majeure. Neither party is liable for any delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, such as natural disasters, epidemics, war, terrorism, labor disputes, government action, or failures of the internet, utilities, or third-party services (including Keygen or payment processors). 20.8 Independent parties. The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship. 20.9 No third-party beneficiaries. Except for the licensors and suppliers of Mercy Systems referred to in Sections 12 and 13, and the persons protected under Section 15, nobody other than you and Mercy Systems has rights under this Agreement. 20.10 Electronic acceptance. You agree that checking the acceptance box at checkout, or installing, activating, or using the Software, is your electronic signature and acceptance of this Agreement, with the same effect as a handwritten signature. We recommend that you save or print a copy of this Agreement for your records. 20.11 Headings and language. Headings are for convenience only. "Including" means "including without limitation". This Agreement is written in English, and the English version controls over any translation. 21.
